Although contemporary Western societies refer to themselves as "democratic," the bulk of the population spend much of their lives in workplaces that have more in common with tyranny. Gigantic corporations such as Amazon, Meta, Exxon, and Walmart are among the richest and most powerful institutions in the world yet accountable to no one but their shareholders. The undemocratic nature of conventional firms generates profound problems across society, hurting more than just the workplace and contributing to environmental destruction and spiraling inequality.
Against this backdrop, Isabelle Ferreras proposes a radical but realistic plan to democratize the private firm. She suggests that all large firms should be bicamerally governed, with a chamber of worker representatives sharing equal governance power with the standard board representing owners. In response to this proposal, twelve leading experts on corporate behavior from multiple disciplines consider its attractiveness, viability, and achievability as a "real utopian" proposal to strengthen democracy in our time."

When people go to work, they cease to be citizens. At their desks they are transformed into employees, subordinate to the hierarchy of the workplace. The degree of their sense of voicelessness may vary from employer to employer, but it is real and growing, inflamed by populist propaganda that ridicules democracy as weak and ineffective amid global capitalism. At the same time, corporations continue untouched and even unremarked as a major source of the problem. Relying on 'economic bicameralism' to consider firms as political entities, this book sheds new light on the institutions of industrial relations that have marked the twentieth century, and argues that it is time to recognize that firms are a peculiar institution that must be properly organized in order to unshackle workers' motivation and creativity, and begin nurturing democracy again."

"The Environmental, Social, and Governance (“ESG”) disclosure movement is expanding both voluntarily, as businesses choose to disclose this information, and mandatorily, as government agencies impose disclosure requirements. As ESG disclosure expands, so do the litigation risks. “Greenwashing” refers to presenting false or misleading environmental or sustainability (i.e., “green”) qualities of products, services, or practices. Businesses may greenwash consumers as well as investors with false and misleading ESG disclosures in advertising, securities filings, or other public statements activating greenwashing litigation from investors and consumers. This Article addresses (1) the laws and regulations that cover consumer and securities greenwashing litigation, (2) how these forms of greenwashing litigation are evolving, and (3) the synergistic relationships that do, and should, exist between these forms of litigation. "Developing legislation to counter the negative impacts of businesses' transnational activities on human rights and the environment is a recent trend. Supporters of such legislation have campaigned to convince policy‐makers to adopt strong law, but this legitimation process has not been theorised. Using Vaara et al.'s theoretical framework, we uncover the six discursive legitimation strategies used by the proponents of the European Union (EU) Corporate Sustainability Due Diligence Directive (CSDDD) to legitimise its creation. Based on interviews with proponents, we offer two main findings. First, the directive's supporters seek to reverse the narrative that legislation with extraterritorial implications is neo‐colonial by arguing instead that the neoliberal status quo exemplifies neo‐colonial exploitation. Second, non‐governmental organisations (NGOs) can convince businesses of the directive's advantages by using playing down, mimicry and rationalisation as discursive legitimation strategies. These findings have major implications for debates on how to make the CSDDD effective in regulating business operations in the Global South."
